Bylaws (2025 Fourth Edition)

Chapter 1 – General Provisions
Article 1
The North Carolina Chapter of the Zhejiang University Alumni Association in North America, abbreviated as “ZJUAANC” or “the Association,” is officially named in English as “Zhejiang University Alumni Association in North America North Carolina Chapter.”
Article 2
The Association is a voluntary, non-profit, social organization formed by Zhejiang University alumni primarily from North Carolina and surrounding states in the southeastern United States. The legal representative is the current President of the Council. The Association is registered in North Carolina. Its official website is https://zjuaanc.org and official contact email is contact@zjuaanc.org.
Article 3
The purpose of the Association is to strengthen connections among ZJU alumni in North Carolina and surrounding areas, provide various services and necessary assistance to alumni, promote exchanges between alumni and the university in education, research, culture, and other fields, and uphold Zhejiang University’s motto of “Seeking Truth and Pursuing Innovation.”
Article 4
The Association is the North Carolina chapter of the Zhejiang University Alumni Association in North America.
Chapter 2 – Mission
Article 5
The primary mission of the Association is to unite and serve alumni in North Carolina and surrounding areas across all fields.
Article 6
The scope of work includes:
a. Organizing alumni networking and various activities from time to time to enrich alumni life;
b. Assisting the university in connecting with professors, experts, entrepreneurs, and prominent individuals to contribute to the university’s development;
c. Receiving visiting delegations from the university and provinces/cities with university ties, and contributing to investment and talent attraction initiatives.
Chapter 3 – Membership
Article 7
Membership is open to individuals who meet the following conditions:
a. Zhejiang University alumni;
b. Support the Association’s bylaws;
c. Voluntarily join and participate in Association activities.
Article 8
The following individuals qualify as Zhejiang University alumni:
a. Former students or faculty/staff of the original Zhejiang University, Hangzhou University, Zhejiang Agricultural University, Zhejiang Medical University, and their affiliated units;
b. Individuals recognized as ZJU alumni on the official websites of the North American Zhejiang University Alumni Association or the Zhejiang University Alumni Association;
c. Changjiang Scholars, specially appointed professors, visiting professors, adjunct professors, honorary doctorate recipients, honorary professors, and other part-time personnel recognized by Zhejiang University.
Article 9
Any person meeting the conditions in Article 7 may become a member through online registration, mailed registration forms, or on-site registration at Association events.
Article 10
Members enjoy the following rights and bear the following obligations:
Rights
i. Participate in Association-organized activities, offer opinions and suggestions, and exercise oversight;
ii. Qualify to join working teams of Council departments and, based on expertise and needs, join the Council;
iii. Receive all services of the Association and enjoy member discounts at events;
iv. Join and withdraw voluntarily.
Obligations
i. Abide by the Association’s bylaws and implement Council resolutions;
ii. Safeguard the legitimate rights and interests of the Association;
iii. Assist the Association in fundraising;
iv. Actively provide relevant information and materials to the Association.
Article 11 – Liability Disclaimer
The Association is a voluntary, non-profit social organization. Members participating in Association activities or performing Association duties shall voluntarily comply with local laws and regulations and pay attention to personal safety and property security. The Association assumes no responsibility for penalties imposed by law enforcement authorities due to violations during Association activities. The Association assumes no liability for personal injury or property damage sustained during such activities.
Chapter 4 – Organizational Structure and Responsibilities
Article 12
The Association’s operating team consists of the Council and its subordinate departments.
Article 13
The Council shall consist of three to twenty-one alumni. If a council member leaves, an expanded Council meeting may be convened to elect replacements or adjust membership. The Council includes one President and one or more Vice Presidents. Upon completion of the term, the First Vice President shall automatically succeed as President unless special circumstances apply. The outgoing President becomes an Advisor and Lifetime Council Member (not counting toward the Council quota), and a new Vice President shall be elected. Except for the President, all other Council members are referred to as “Members.”
The Council establishes four departments—Finance, Public Relations, Events, and Liaison—to carry out daily operations under the President’s leadership and report to the Council. Each department is typically staffed by one or two members, with a Council member serving as department head. Departments shall actively recruit enthusiastic members, organize work, form operational teams, and cultivate future leaders for the Association’s long-term development.
Article 14
The Council operates on a one-person, one-vote basis. The President and Vice Presidents are elected democratically by the previous term’s members. After the President and Vice Presidents are elected, the previous Council resigns to the new President. New Council members are nominated and recommended by the new President. Council terms are two years and may be renewed once.
Article 15 – Voting Procedures
Before passing a resolution, the Council shall fully consider all members’ opinions and strive to maintain unity through consultation. If consultation fails or breaks down, the President alone or two-thirds or more of the members may initiate a voting procedure. A democratic vote shall be taken item by item. A resolution passes with more than half of the votes from attending members; otherwise it fails. In case of a tie, the matter is tabled for further discussion or voting at the next meeting.
Article 16
The Council has the following rights and obligations:
Rights
- Formulate and amend the Association’s bylaws;
- Nominate and recommend Council members to form the Council;
- Discuss and decide on major matters affecting the Association’s image;
- Discuss and decide on disqualifying council members who violate regulations.
Obligations
- Lead the Association in accordance with the law and its bylaws;
- Convene Council meetings as needed;
- Organize and implement Council resolutions;
- Report work to the membership and accept oversight.
Chapter 5 – Supplementary Provisions
Article 17
Matters not covered in these bylaws shall be handled in accordance with relevant national and local laws and regulations, or resolved through Council discussion.
Article 18
These bylaws shall take effect upon adoption by the Council.
